MASTER PARTICIPATION, CONDUCT & COMPLIANCE AGREEMENT

IMPORTANT NOTICE REGARDING MINORS

MINORS MAY NOT ACCEPT THIS AGREEMENT.

Any individual under the age of eighteen (18) years is legally prohibited from accepting this Agreement independently. Participation by minors ages sixteen (16) through seventeen (17) is permitted only where a parent or legal guardian has reviewed, agreed to, and affirmatively accepted this Agreement on the minor’s behalf.

Any attempt by a minor to accept this Agreement independently is void and unenforceable.

By accepting this Agreement on behalf of a minor, the parent or legal guardian acknowledges responsibility for the minor’s participation to the maximum extent permitted by law.

1. PARTIES & ORGANIZATIONAL STATUS

This Master Participation, Conduct & Compliance Agreement (“Agreement”) is entered into by and between:

Blackheart Molding Grounds, including its affiliated operational division Blackheart Milsim Group (“BMG,” “the Organization,” “we,” “us,” or “our”), and

The individual participant, volunteer, mentor, contributor, or parent/legal guardian accepting this Agreement (“Participant,” “you,” or “your”).

BMG is a mission-driven organization utilizing structured digital environments for mentorship, leadership development, and community engagement. BMG is not a governmental entity, military organization, school, childcare provider, employer, or accredited educational institution.

2. ACCEPTANCE & ELECTRONIC CONSENT

This Agreement is accepted and becomes binding when a Participant:

Reacts to, acknowledges, or otherwise affirms acceptance within BMG’s official Discord or digital platform;
Checks a digital acceptance box;
Is assigned any role, permission, or access after presentation of this Agreement; or
Participates in any BMG activity after notice of this Agreement.

Acceptance is governed by the Uniform Electronic Transactions Act (Cal. Civ. Code § 1633) and constitutes legally valid consent.

Continued participation constitutes ongoing acceptance of this Agreement and any future revisions.

3. AT-WILL PARTICIPATION & NO GUARANTEES

Participation in BMG is voluntary, at-will, and revocable at any time.

BMG makes no representations or guarantees regarding:

Advancement, rank, or leadership placement;
Mentorship outcomes;
Skill acquisition;
Career, educational, or military results;
Content production inclusion or visibility.

Nothing herein creates an employment relationship, partnership, joint venture, fiduciary duty, or agency relationship.

4. ORGANIZATIONAL VALUES & PRINCIPLES

All Participants are expected to uphold:

Professionalism, respect, and accountability;
Honesty and integrity in all communications;
Discipline during official activities;
A harassment-free, inclusive environment;
A commitment to safety, particularly concerning minors.

These values inform enforcement decisions even where specific conduct is not enumerated.

5. ENFORCEMENT FRAMEWORK

5.1 Administrative (Non-Legal) Enforcement

The following categories are enforced administratively, not legally:

Game mechanics and operational rules;
Chat, voice, and platform etiquette;
Role structure and internal discipline standards.

Violations may result in warnings, suspension, demotion, removal of roles, or permanent bans, at BMG’s sole discretion.

5.2 Legally Enforceable Provisions

The following provisions are intended to be legally enforceable:

Confidentiality obligations;
Intellectual property rights;
Minor protection and safety requirements;
Dispute resolution provisions;
Liability limitations and indemnification.

6. PROFESSIONAL CONDUCT STANDARDS

Participants must:

Follow leadership direction during official activities;
Communicate respectfully and professionally;
Avoid conduct that undermines safety, order, or mentorship objectives;
Act honestly in all applications, reports, investigations, and representations.

7. PROHIBITED CONDUCT

The following conduct may result in immediate removal and permanent ban:

Harassment, hate speech, threats, or intimidation;
Sexual, explicit, or NSFW content;
Distribution of malware, IP grabbers, or exploit tools;
Piracy or promotion of illegal activity;
Political advocacy or disruptive political debate;
Stolen valor or false claims of military service;
Abuse of administrative or Game Master permissions;
Unauthorized disclosure of confidential information;
Attempts to undermine leadership, incite disruption, or bypass authority;
Poaching members from other organizations without authorization.

8. MINOR SAFETY & ZERO-TOLERANCE POLICY

8.1 Minor Participation

Minors ages 16–17 may participate only with verified parent or guardian consent.

8.2 Prohibited Mentor / Volunteer Conduct

Mentors, volunteers, staff, or Participants may not solicit, request, store, or receive from minors any personal information including but not limited to:

Legal name
Address or location data
Phone number
Email address
School or employer information
Financial information
Photographs or video
Social media accounts beyond approved platforms

8.3 Permitted Identifiers

The only permitted identifiers for minors are:

Discord username
Steam ID
Xbox Gamertag
PlayStation Network ID

8.4 Communication Platforms

These rules apply across:

Discord
Steam
Xbox
PlayStation Network
Arma Reforger / Bohemia Interactive
Any future platform approved by BMG

8.5 Enforcement & Escalation

BMG may refer matters involving potential misconduct, exploitation, or violations involving minors to the relevant platform provider, whose terms and enforcement mechanisms govern those services.

BMG is not responsible for communications occurring outside its reasonable control.

9. CONFLICTS OF INTEREST

Participants in leadership, mentorship, or administrative roles must avoid conflicts of interest and may not use their position for personal gain, relationships, favors, or influence.

Any potential conflict must be disclosed promptly to BMG leadership.

10. GIFTS, PAYMENTS & IMPROPER BENEFITS

No Participant may solicit or accept money, gifts, favors, services, or benefits from members in exchange for:

Roles;
Access;
Advancement;
Preferential treatment.

BMG operates on a donation-only basis.

11. CONFIDENTIALITY & RECORD INTEGRITY

Participants may not disclose or falsify:

Internal plans, strategies, or operations;
Rosters, schedules, passwords, or credentials;
Investigative findings or leadership communications;
Applications, reports, or official documentation.

Confidentiality obligations survive termination.

12. DATA PRIVACY

BMG collects minimal information solely for participation and contact:

Volunteers provide phone numbers;
Members provide Discord identifiers.

Information is not sold, shared, or used for unrelated purposes.

13. PLATFORM COMPLIANCE

Participants must comply with all applicable platform terms, including:

14. DONATIONS & REFUNDS

BMG accepts donations only.
No goods, services, advantages, or access are provided in exchange.

Refunds are available within seven (7) days.

15. INTELLECTUAL PROPERTY

Independent creators retain ownership of personal content but must credit BMG when referencing BMG activities.

Content created as part of an official BMG production role is the exclusive property of BMG.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by law, BMG shall not be liable for indirect, incidental, or consequential damages. Liability is capped at the amount donated, if any.

17. INDEMNIFICATION

Participants agree to indemnify and hold harmless BMG from claims arising from their conduct, content, or violations of this Agreement.

18. DISPUTE RESOLUTION

Disputes shall be resolved in the following order:

Good-faith negotiation
Mediation
Binding arbitration under California law

BMG may seek injunctive relief where necessary.

19. PUBLIC REPRESENTATION & BRAND USE

Only authorized representatives may speak on behalf of BMG. Unauthorized use of BMG’s name, branding, or representation is prohibited.

20. TERMINATION

BMG may terminate participation at any time, with or without notice. Termination does not waive accrued obligations.

21. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.

22. SEVERABILITY & SURVIVAL

If any provision is held invalid, remaining provisions remain enforceable. Confidentiality, IP, indemnification, and dispute resolution provisions survive termination.

23. ACKNOWLEDGMENT

By accepting this Agreement, you affirm that you have read, understood, and agree to be bound by all terms herein.
